Terms of Service

1. Agreement to terms

By creating an account or using Oversee ("the Service"), you agree to these Terms of Service. If you're using Oversee on behalf of a company or organization, you're agreeing on that organization's behalf and confirming you have authority to do so.

2. Accounts and roles

  • You must provide accurate information when registering and are responsible for keeping your login credentials secure.
  • Oversee supports multiple account types with different access levels: organization owners/admins, team members (superintendents, project managers, trades), project owners, and tenants. Your organization's administrator controls what you can see and do within a project.
  • You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.

3. Acceptable use

You agree not to:

  • Use Oversee for any unlawful purpose or in violation of any applicable building, safety, or labor regulation.
  • Upload content you don't have the right to share (e.g., copyrighted drawings without permission).
  • Attempt to access data outside your granted project or organization permissions, or attempt to circumvent access controls.
  • Use the Service to harass, defame, or threaten other users.
  • Reverse-engineer, scrape, or use automated means to extract data from the Service beyond the provided API.
  • Introduce malware or attempt to disrupt the Service's operation.

4. Your content and data ownership

  • You own your data. Project records, documents, photos, and communications you or your organization create in Oversee belong to you/your organization, not to us.
  • By uploading content, you grant Oversee a limited license to store, process, and display that content solely to provide the Service to you and your authorized collaborators (including sending it to subprocessors like OpenAI when you use AI features, per our Privacy Policy).
  • You're responsible for the accuracy of data you enter. Oversee is a record-keeping and workflow tool — it does not verify the accuracy of your construction, financial, or safety data on your behalf.

5. Subscriptions and billing

  • Plans and pricing. Oversee offers self-serve Core and Pro subscription plans, billed monthly or annually at the price shown at checkout, plus custom-priced Enterprise plans sold separately by our sales team. Current self-serve pricing is published at oversee-app.com/pricing.
  • Payment processor. Payment is processed by Stripe, Inc. Oversee never receives or stores your card number. By subscribing, you also agree to Stripe's own terms of service for the payment itself.
  • Free trial. New organizations receive a 14-day free trial. If you don't enter a payment method and complete a paid subscription before the trial ends, your organization's access to team features is paused until you subscribe; your data is retained and access resumes immediately upon subscribing.
  • Automatic renewal. Paid subscriptions automatically renew at the end of each billing period (monthly or annually, matching your selected interval) at the then-current price, and your payment method will be charged automatically at renewal, until you cancel.
  • Cancellation. You can cancel automatic renewal at any time from Billing → Manage Billing in the app or web team portal, which opens a Stripe-hosted billing portal. Cancellation takes effect at the end of the current billing period — you keep access through the period you've already paid for, and no partial-period refund is issued for a mid-period cancellation.
  • Refunds and price changes. Fees are non-refundable except where required by law. We'll give you reasonable advance notice by email before any price increase takes effect on your next renewal.
  • Enterprise plans are governed by their own signed order form or contract, which takes precedence over this section for that organization.

6. AI features

Oversee's AI Assistant, AI-generated RFIs, photo analysis, and voice-to-log features use OpenAI's models to process your project data and generate suggestions or summaries. AI-generated content may contain errors ("hallucinations") and must be reviewed by a qualified person before being relied upon for safety, financial, contractual, or scheduling decisions. Oversee is not responsible for actions taken solely on the basis of unreviewed AI output.

7. Disclaimers and limitation of liability

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
  • Oversee is a project management and documentation tool. It is not a substitute for professional engineering, legal, financial, or safety judgment. Decisions about construction means and methods, contract obligations, payment approvals, and safety compliance remain your organization's responsibility.
  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, OVERSEE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR PROJECT DELAYS, ARISING FROM YOUR USE OF THE SERVICE.

8. Availability and offline use

Oversee is designed to work offline in the field and sync when connectivity returns. We do not guarantee uninterrupted availability of cloud sync, push notifications, or AI features, and are not liable for delays caused by network conditions, third-party service outages, or force majeure events.

9. Financial and contract data

Features such as Pay Applications, Draw Requests, Contracts, Schedule of Values, and Change Events are provided as documentation and workflow tools. They are not a substitute for your organization's own accounting, legal, or bonding/surety review processes. Oversee is not a party to any contract, payment, or change order you record in the Service.

10. Termination

  • You may stop using the Service and delete your account at any time via More → Account → Delete Account. Deleting your account does not, by itself, cancel your organization's active subscription — cancel billing separately per Section 5 above.
  • We may suspend or terminate accounts that violate these Terms, engage in abuse, or pose a security risk to other users.
  • Upon termination, your organization's data will be handled per our data retention practices described in the Privacy Policy.

11. Changes to the Service or Terms

We may update these Terms or modify/discontinue features over time. Material changes will be communicated in-app or by email before taking effect. Continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles.
